Concord New Energy Group Limited will convene its 2026 annual general meeting (AGM) at 10:00 a.m. on Thursday, 25 June 2026, in Room 4901, 49/F, Sun Hung Kai Centre, 30 Harbour Road, Hong Kong. Shareholders may appoint proxies to vote on seven ordinary resolutions and any additional motions raised at the meeting.
Key items slated for shareholder approval include:
1. Financial Statements and Reports • Adoption of the audited financial statements and the reports of the directors and independent auditor for the financial year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of four directors: Mr. Liu Shunxing, Mr. Zhai Feng, Ms. Huang Jian and Mr. Jesse Zhixi Fang. • Authorisation for the board to determine directors’ remuneration.
3. Cash Dividend • Declaration of a final dividend of HK$0.003 per share for the year ended 31 December 2025.
4. Auditor Appointment • Re-appointment of KPMG as independent auditor and authorisation for the board to set its remuneration.
5–7. Share Capital Mandates • A general mandate permitting the board to allot, issue or transfer additional shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital. • A mandate authorising the repurchase of the company’s shares and other securities. • An extension of the issuance mandate to cover any shares repurchased under the aforementioned authority.
Proxy forms must reach Tricor Investor Services Limited (for Hong Kong shareholders) or In.Corp Corporate Services Pte. Ltd. (for Singapore shareholders) by 10:00 a.m. on 23 June 2026—48 hours before the AGM. Joint shareholders may vote through the member listed first on the register. Personal attendance at the AGM will supersede any submitted proxy instructions.
