Frontage issues 0.50 million new shares in April 2026 following option exercise; authorised capital unchanged

Bulletin Express
May 06

Frontage Holdings Corporation reported a marginal uptick in its share base for April 2026, driven exclusively by employee option exercises.

Issued share movement • Issued shares (excluding treasury) rose by 0.50 million to 2.04 billion, a 0.02 % increase from March. • No treasury shares were outstanding, leaving total issued shares equal to issued shares at 2.04 billion.

Capital structure • Authorised share capital remained static at 5.00 billion ordinary shares with an aggregate par value of USD 50,000. • Public float continued to meet the Main Board’s 25 % minimum requirement.

Share option activity • Pre-IPO Share Incentive Plan: 0.50 million options were exercised, reducing outstanding options to 14.95 million. • 2018 Share Incentive Plan: 0.76 million options lapsed, leaving 15.22 million outstanding. • Combined, 30.17 million options remain outstanding across the two schemes. • The 0.50 million new shares issued from option exercises generated HKD 0.19 million in cash proceeds.

Share repurchases • The return shows previously repurchased shares totaling 3.54 million that await formal cancellation; no new repurchases or treasury-share movements occurred in April 2026.

Frontage’s overall capital base thus remains largely stable, with minimal dilution during the month and full compliance with Hong Kong Stock Exchange public-float rules.
