VOICECOMM (02495) to Issue 2.1985 Million Subscription Shares C

VOICECOMM (02495) announced that on May 20, 2026, the company entered into Subscription Agreement C with Subscriber C (SCI-TECH UNICORN LPF). Under the agreement, the company conditionally agreed to allot and issue, and Subscriber C conditionally agreed to subscribe for, 2,198,500 Subscription Shares C at a price of HK$46.3 per share. Assuming no other changes in the total number of issued shares from the date of this announcement until the completion of C, the 2,198,500 Subscription Shares C to be allotted and issued represent approximately 5.54% of the company's existing issued share capital of 39,659,100 shares as of the announcement date; and approximately 5.25% of the company's enlarged issued share capital of 41,857,500 shares following the allotment and issuance of the Subscription Shares C. The total gross proceeds and net proceeds from Subscription C will be approximately HK$101.8 million and HK$101.3 million, respectively. It is reported that Subscriber C is a limited partnership fund registered under the Limited Partnership Funds Ordinance (Chapter 637 of the Laws of Hong Kong), managed by its general partner, Laitian Investment Limited (Laitian). Laitian is a limited company incorporated in Hong Kong, primarily engaged in investment business covering private equity, listed equities, fixed income, and fund investments. As of the date of this announcement, Laitian is wholly owned by Mr. Hu Jianjun. Apart from Laitian, no other investor holds more than 30% of the interests in Subscriber C as of the announcement date. The directors believe that Subscription C will strengthen the group's financial position, broaden the company's shareholder and capital base, and support its long-term development and business growth in the conversational AI field. In particular, the directors are confident that Subscription C can further enhance the company's technological advantages and commercial implementation capabilities in enterprise-grade interactive artificial intelligence. Based on the latest industry technology trends and changes in customer demands within commercial scenarios, and building upon the company's existing technological foundation and solutions, Subscription C will support further research, development, and product innovation in constructing a multimodal fusion architecture based on meta-models, as well as developing intelligent agents with lifelong learning capabilities and a multi-agent collaborative technology system, while significantly enhancing the delivery capabilities of solutions in practical commercial scenarios.
