Dynagreen Environmental Protection Group Co., Ltd. (Dynagreen Environmental) has released the agenda for its Annual General Meeting (AGM) on 10 June 2026, outlining multiple resolutions covering dividends, guarantees, share capital and governance matters.
Dividend proposal • The Board recommends a final cash dividend of RMB0.22 per share (before tax) for FY 2025, equal to 50.97% of attributable net profit. • Shareholders of H shares must be on the register by 22 June 2026; the book-closure period runs from 16 to 22 June 2026. • Payment is scheduled for 8 July 2026, with H-share dividends converted at the PBoC average selling rate for the seven days up to the AGM.
Auditor re-appointment • BDO China Shu Lun Pan CPA LLP is nominated as external auditor for FY 2026, with an estimated fee of RMB2.25–2.75 million, subject to shareholder approval.
Subsidiary guarantees • The Board seeks authority to issue joint-and-several guarantees totalling up to RMB2.25 billion: – RMB300 million in comprehensive credit lines (tenor ≤ 5 years). – RMB1.95 billion in fixed-asset loan guarantees (tenor ≤ 15 years). • The guarantees cover 11 wholly-owned or majority-owned subsidiaries and will be valid for one year from AGM approval. As of the meeting notice, existing external guarantees stand at RMB5.38 billion, or 65.04% of 2025 audited net assets.
Capital reduction and share repurchase • Dynagreen plans to repurchase and cancel 180,000 restricted A shares granted to an incentive participant who has passed away. • Repurchase price equals the original grant price of RMB2.95 plus bank-deposit interest; total outlay is estimated at RMB0.54 million. • Upon cancellation, total share capital will fall to 1,430,404,686 shares and registered capital to RMB1,430,404,686.
Issuance mandate • A 12-month general mandate allows the Board to issue up to 20% of the existing A-share and H-share capital.
Director remuneration • Total director remuneration for 2025 was RMB4.35 million; packages for 2026 will remain unchanged. Independent directors received RMB80,000 (domestic) and HK$120,000 (Hong Kong resident) respectively.
Other items • Adoption of new remuneration management measures for directors and senior management. • Renewal of general mandates for restricted-share repurchases and amendments to the Articles of Association to reflect capital changes.
Shareholders will vote on all ordinary and special resolutions at the AGM.
