CiDi Inc. reported that all resolutions presented at its Extraordinary General Meeting (EGM) on 8 October 2026 were approved by poll with 100.00% of the votes cast in favor.
The EGM, held electronically via the company’s eVoting Portal, recorded shareholder and proxy attendance representing 129.30 million shares, or 29.53% of CiDi’s 437.89 million issued shares. The trustee holding 2.47 million H shares under the 2026 H-Share Incentive Scheme did not vote, consistent with scheme rules.
Key resolutions:
• Full Circulation: Shareholders endorsed the conversion of the company’s 13.45 million domestic unlisted shares into H shares for trading on the Main Board of The Stock Exchange of Hong Kong. • Management Authorization: Executive directors received authority to execute actions necessary for the full-circulation process. • Articles of Association: A special resolution amending the Articles, and authorizing an executive director to complete related filings post-conversion, also received unanimous approval.
Tricor Investor Services Limited served as scrutineer for the poll count. All directors participated in the meeting electronically. No shareholder was required to abstain, and no votes were cast against or withheld on any resolution.
