Zylox-Tonbridge Medical Sets 13 May 2026 AGM to Vote on 2025 Reports, Dividend Plan and Governance Restructuring

Zylox-Tonbridge Medical Technology Co., Ltd. will hold its 2025 Annual General Meeting (AGM) at 9:00 a.m. on 13 May 2026 in Meeting Room 202, Zylox-Tonbridge Industrial Park, Hangzhou, Zhejiang. Shareholders will review 11 resolutions—seven ordinary and four special—covering financial reporting, profit distribution, audit appointments, share mandates and corporate governance adjustments.

Ordinary business 1. Board Report 2025, Supervisory Committee Report 2025 and the 2025 audited financial statements are slated for adoption. 2. A 2025 profit-distribution plan will be put to vote; specific payout figures are not disclosed in the proxy document. 3. Re-appointment of the external auditor for 2026 and authorisation for the Board to set remuneration for directors and senior management are included. 4. Amendments to the 2021 H Share Award and Trust Scheme will also be considered.

Special business 1. A general mandate empowering the Board to issue or otherwise deal with ordinary shares. 2. A separate mandate to repurchase H shares. 3. A proposed change in the Company’s term of operation. 4. Cancellation of the Supervisory Committee and corresponding amendments to the Articles of Association, signalling a potential shift in governance structure.

Logistics and voting • Shareholders may appoint the AGM chairman or an alternate proxy to vote; completed proxy forms must reach Tricor Investor Services Limited in Hong Kong—or the Company’s Hangzhou office for domestic shareholders—by 9:00 a.m. on 12 May 2026. • Joint shareholders may vote in person or by proxy, with precedence given to the first name on the register. • The meeting is expected to last less than half a day; attendees bear their own travel and accommodation costs and must present identity documentation.

Successful passage of the resolutions will confirm the Company’s 2025 financial results, set the dividend framework, renew the external audit engagement and implement significant capital-management and governance changes.
