MCC: Independent Non-Executive Director Johnny Ng Resigns; Board Compliance Measures Underway

Metallurgical Corporation of China Ltd. (MCC) announced that Independent Non-Executive Director Mr. Ng Kar Ling Johnny has submitted his resignation after serving six consecutive years, in line with the China Securities Regulatory Commission’s rules on independent directors. Mr. Ng is also stepping down as Chairman of the Audit Committee and as a member of the Sustainable Development Committee.

Following the departure, MCC’s independent director representation will drop below the one-third threshold required by regulation, and certain Board committee compositions will fall out of compliance. To rectify the situation, the resignation will become effective only after shareholders elect a new independent non-executive director. The company must complete this by-election within 60 days.

MCC stated that Mr. Ng has no disagreement with the Board, holds no shares in the company, and that there are no other matters needing shareholder or creditor attention. The Board expressed gratitude for Mr. Ng’s contributions during his tenure.
