Seres Group Co., Ltd. (SERES) disclosed that Non-executive Director Li Wei will retire upon reaching statutory age and step down from the Board and its committees effective 2 June 2026. The Board expressed appreciation for Li’s diligent service and confirmed there are no outstanding disagreements or matters requiring shareholder attention.
Concurrently, Dongfeng Motor Corporation, a shareholder of SERES, has recommended Gao Zhenghao as a candidate to succeed Li as Non-executive Director for the sixth Board session. The nomination has been reviewed by the Board’s nomination committee and will be put to a shareholder vote, as mandated by the company’s Articles of Association. If approved, Gao’s tenure will commence on the date of shareholder approval and run until the end of the current Board term, with eligibility for re-election upon rotation.
Gao, aged 49, holds a master’s degree in engineering and brings extensive automotive industry experience, including prior senior roles at Dongfeng Nissan Passenger Vehicle Company, Dongfeng Infiniti Motor, and Easyjet New Energy Vehicle. He currently serves as Deputy General Manager of the Marketing Management Department at Dongfeng Motor Corporation. Gao holds no shares in SERES, has no relationships with directors, senior management, or substantial shareholders, and has not served on other listed company boards in the past three years.
Under the existing remuneration policy, the position of Non-executive Director at SERES is unpaid. The company stated that no additional information is required to be disclosed under Hong Kong Listing Rules 13.51(2)(h)–13.51(2)(v).
