CISI FIN (06058) spends US$12.08 million to lift holding of Santos Finance 5.25% 2029 notes to US$11.72 million; classified as discloseable transaction

China Industrial Securities International Financial Group Limited (“CISI FIN”, 06058.HK) disclosed that its wholly owned arm, CISI Investment Ltd., accumulated US$11.72 million principal amount of 5.25% notes due 13 March 2029 issued by Santos Finance Ltd. and guaranteed by ASX-listed Santos Ltd.

The notes were bought on the open market between 18 September 2025 and 4 March 2026 for an aggregate consideration of US$12.08 million (HK$94.82 million), funded entirely with internal resources.

The latest tranche on 4 March 2026 involved US$3.80 million principal at a cost of US$3.96 million (HK$31.09 million). Earlier purchases spanning seven trades from 18 September 2025 to 20 January 2026 totalled US$7.92 million principal for US$10.15 million (HK$79.71 million).

Because the combined transaction size pushes one of the applicable percentage ratios under HKEX Listing Rule 14.07 above 5% but below 25%, the series of acquisitions constitutes a discloseable transaction. Consequently, CISI FIN is required to publish this announcement but is exempt from seeking shareholder approval.

Key note terms: total programme size US$600 million, fixed coupon 5.25% per annum, issue price 99.119% of par, maturity on 13 March 2029, with payments unconditionally and irrevocably guaranteed by Santos Ltd.

CISI FIN said the investment broadens and balances its portfolio while targeting stable returns within acceptable risk parameters.
