Unity Group Holdings Lifts Issued Share Base by 94.55 Million Shares in July on Convertible Bond Conversions

Unity Group Holdings International Limited reported a 2.74% month-on-month expansion in its issued share capital for July 2026, driven entirely by the conversion of outstanding convertible bonds.

During the period, the number of issued ordinary shares (excluding treasury shares) rose to 3.54 billion from 3.44 billion, an increase of 94.55 million shares. The company continues to hold no treasury shares.

Authorised share capital remained unchanged at 50.00 billion ordinary shares with a par value of HKD 0.01, equivalent to HKD 500.00 million.

Key driver of the share increase: • Convertible Bonds – Unity converted USD 4.00 million of its 8% convertible bonds (subscription price: HKD 0.33 per share), resulting in the issuance of 94.55 million new shares. After the transactions, USD 1.00 million of the bonds remains outstanding, capable of being converted into a further 23.64 million shares.

Share option position: • 2015 Scheme (exercise price HKD 0.601): 62.21 million options outstanding; 57.31 million shares remain available for issuance. • 2024 Scheme (exercise price HKD 0.410): 146.72 million options outstanding with 140.87 million shares available for issuance; capacity for an additional 197.69 million options remains under the scheme limit. • No share options were exercised in July, and no funds were raised from option exercises.

Public float stood above the Main Board’s 25% minimum requirement as at 31 July 2026.

The company filed its return on 6 August 2026, signed by Chairman and CEO Mr. Wong Man Fai Mansfield.
