Nanofilm Technologies shareholders approve all resolutions at FY2025 AGM

Nanofilm Technologies International Limited held its annual general meeting on Apr, 29 2026 at its headquarters in Singapore, with quorum present and Executive Chairman Dr. Shi Xu presiding.

Shareholders adopted the FY2025 Directors’ Statement and audited financial statements and approved a final tax-exempt dividend of 0.0087 Singapore dollars per ordinary share.

They also re-elected Dr. Shi Xu as a director; noted the retirement of independent director Mr. Steve Ghanayem; and endorsed directors’ fees of about 0.33 million Singapore dollars for FY2026, payable quarterly in arrears.

Moore Stephens LLP was re-appointed as external auditor.

Under special business, shareholders renewed the general share-issue mandate authorising the board to issue new shares up to 50% of issued capital (20% on a non-pro-rata basis), and separately authorised share issuances under the 2017 Employee Share Option Scheme, the 2020 Employee Share Option Scheme and the 2021 Restricted Share Plan.

The meeting also renewed the 10% share purchase mandate, allowing both on-market and off-market buybacks at up to 105% and 120% of the five-day average market price respectively.

All resolutions were carried with at least 95.9% votes in favour; ordinary resolutions on routine matters registered support above 99.9%. The meeting closed at 11:47 a.m. Singapore time.
