Penguin International clears all resolutions, declares 5-cent dividend at Apr, 27 2026 AGM

Penguin International Limited held its Annual General Meeting on Apr, 27 2026 in Singapore, where shareholders approved all nine proposed resolutions by poll.

The meeting adopted the Directors’ Statement and audited financial statements for FY2025, during which the Group recorded a 13.2% year-on-year revenue increase to 266.6 million Singapore dollars, comprising 196 million Singapore dollars from shipbuilding (up 4.6%) and 70.6 million Singapore dollars from chartering (up 46.6%). Net profit attributable to shareholders was stable at 35.5 million Singapore dollars, total assets rose 19.1% to 289 million Singapore dollars, and current liabilities stood at 123.2 million Singapore dollars.

Shareholders endorsed a first and final tax-exempt dividend of 5 cents per ordinary share, payable on May, 29 2026 to shareholders on record as of May, 21 2026. Directors’ fees of 222,000 Singapore dollars for FY2025 were also approved.

The AGM re-elected Executive Chairman Jeffrey Hing Yih Peir, Non-executive Non-independent Director Keith Tan Keng Soon, and Independent Director Tan Poh Lee Paul to the Board, and re-appointed PKF-Cap LLP as external auditor. All resolutions on these matters received 100% of votes cast in favour.

A general share issue mandate authorising directors to issue new shares of up to 50% of issued capital (with a 20% limit for non-pro-rata issues) was renewed with 97.60% approval. Shareholders also renewed the share buy-back mandate, permitting the purchase of up to 10% of issued shares at a maximum premium of 5% on-market or 10% off-market, with 99.30% votes in favour.

Management briefed investors on business highlights, noting delivery of more than 300 high-speed aluminium vessels since 1996 and outlining a succession plan for the next generation of leadership.
