Lingbao Gold Group Company Ltd. will convene its 2025 Annual Shareholders’ Meeting at 9:00 a.m. on 19 May 2026 at the company’s headquarters at the intersection of Hangu Road and Jiangshan Road, Lingbao, Henan, China.
Eight ordinary resolutions are slated for shareholder vote: 1) approval of the board of directors’ 2025 report; 2) approval of the supervisory committee’s 2025 report; 3) endorsement of the audited consolidated financial statements and auditors’ report for the year ended 31 December 2025; 4) re-election of Mr. Wang Pinran as executive director; 5) re-election of Mr. Huang Hui as independent non-executive director; 6) authorisation for the board to set remuneration for directors and supervisors for 2025; 7) approval of the final dividend for FY 2025; and 8) re-appointment of BDO Limited as international auditor and BDO China Shu Lun Pan CPA as PRC auditor, with the board authorised to fix their fees.
Four special resolutions will also be considered: 1) a general mandate to issue new shares; 2) authorisation for the board to issue debt-financing instruments; 3) amendments to the articles of association; and 4) a general mandate for the board to repurchase H shares.
Shareholders recorded in the domestic or H-share registries may appoint the meeting chairman or another proxy to vote on their behalf. Completed proxy forms must be lodged—H-shareholders with Computershare Hong Kong Investor Services Limited and domestic shareholders at the company’s registered address—no later than 24 hours before the meeting. Attendance in person remains permissible even after a proxy has been submitted.
