CIMC Enric Holdings Limited has issued the formal proxy circular for its Annual General Meeting (AGM), scheduled for 20 May 2026 at 2:30 p.m. in Central, Hong Kong.
Key resolutions to be tabled:
1. FY-2025 Results and Dividend • Shareholders will vote on receiving the audited consolidated financial statements and accompanying reports for the year ended 31 December 2025. • The Board proposes a final dividend of HKD0.31 per ordinary share for 2025, subject to approval at the AGM.
2. Board Composition • Re-election of four directors, each as a separate resolution: – Mr. Zeng Han (Non-executive Director) – Mr. Wang Yu (Non-executive Director) – Mr. Wang Xiaoyan (Non-executive Director) – Mr. Tsui Kei Pang (Independent Non-executive Director) • Shareholders will also authorize the Board to determine directors’ remuneration.
3. Auditor Re-appointment • KPMG is nominated for re-appointment as auditor, with the Board to fix its remuneration.
4. Share Issuance and Repurchase Mandates • General mandate to issue shares (excluding treasury shares). • General mandate to repurchase shares (excluding treasury shares). • Conditional extension of the issuance mandate by the amount of shares repurchased.
Proxy logistics: Completed proxy forms must reach the company’s Hong Kong share registrar, Computershare Hong Kong Investor Services Limited, by 2:30 p.m. on 18 May 2026, 48 hours before the meeting.
All resolutions will be voted on by poll in accordance with Hong Kong Stock Exchange Listing Rule 13.39(4).
