Greentown China Sets 29 June 2026 EGM to Approve Second Financial Services Framework Agreement

Greentown China Holdings Limited has issued a notice convening an Extraordinary General Meeting (EGM) for 29 June 2026 at 2:30 p.m. The meeting will be held at Greentown University, Block E (South), Xixi International Center, No. 767 West Wenyi Road, West Lake District, Hangzhou, Zhejiang Province, PRC.

The EGM will seek shareholder approval for: 1. The Second Financial Services Framework Agreement and all transactions contemplated under it. 2. The associated Transaction Caps. 3. Authorization for any one director to execute all necessary documents and actions to implement the agreement and related transactions.

Voting at the EGM will be conducted by poll, in accordance with Hong Kong Listing Rules. Shareholders entitled to attend and vote may appoint proxies; completed proxy forms must reach Computershare Hong Kong Investor Services Limited, 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong, no later than 48 hours before the meeting.

The register of members will be closed from 24 June 2026 to 29 June 2026 (both dates inclusive). To qualify for attendance and voting, share transfers must be lodged with the share registrar by 4:30 p.m. on 23 June 2026.

As of the notice date (9 June 2026), the Board comprises one chairman and non-executive director, three executive directors, two non-executive directors, and four independent non-executive directors.
