Soft Intl Sets 18 June 2026 AGM; Seeks 20% Issue Mandate, 10% Buyback Authority and Board Re-elections

Soft International Group Ltd (Soft Intl) has issued its circular for the 18 June 2026 annual general meeting (AGM) in Quanzhou, outlining four key resolutions for shareholder approval.

Key proposals 1. Capital mandates • Issue mandate: Directors request authority to allot and issue up to 200.00 million new shares—equivalent to 20.0% of the current 1.00 billion issued shares—during the period to the next AGM. • Buyback mandate: Management seeks approval to repurchase up to 100.00 million shares, representing 10.0% of issued share capital. An additional resolution would allow the issue mandate to be extended by the number of shares actually repurchased.

2. Board composition • Re-election of three retiring directors: executive director Gao Yue and independent non-executive directors Leong Kai Weng Subrina and Wong Tai Wai David. • The nomination committee confirms independence of the INEDs and supports their re-appointment.

3. Auditor re-appointment • Forvis Mazars CPA Limited is proposed to continue as the company’s independent auditor for the financial year ending 31 December 2026.

Meeting logistics • The AGM is scheduled for 10:00 a.m. on Thursday, 18 June 2026, at the company’s headquarters in Quanzhou Jinjiang, Fujian Province, China. • Shareholders recorded by 12 June 2026 will be eligible to attend and vote; the proxy form must be lodged at Tricor Investor Services in Hong Kong no later than 10:00 a.m. on 16 June 2026.

Capital structure and shareholding impact • As at 17 April 2026, Soft Intl had 1.00 billion issued shares. • Major shareholder Ngan Pui Kuan, through controlled entities, holds 675.00 million shares (67.50%). Full utilisation of the buyback mandate would raise this interest to approximately 75.0%, while the public float would remain at or above the 25% threshold required by Hong Kong listing rules.

The board recommends all resolutions for shareholder approval, citing flexibility in capital management and continuity in governance. Results of the AGM resolutions will be announced via poll in accordance with Hong Kong Stock Exchange requirements.
