Aspial Corporation discloses S$27.6 million related-party deals for FY2026

Aspial Corporation Limited announced on Jun, 4 2026 that the group has entered into interested person transactions amounting to about 27.6 million Singapore dollars for the financial year ending Dec, 31 2026, equal to 5.19 % of its audited net tangible assets of 531.4 million Singapore dollars as at Dec, 31 2025.

The largest item is a 17.6 million Singapore dollars corporate guarantee provided proportionately by shareholders of AFG Investment, a 50:50 joint venture between Aspial and JK Global Investment. Other material transactions include 4.1 million Singapore dollars of corporate charges involving the Aspial Lifestyle Group, a 1.2 million Singapore dollars subscription for 5.10 % notes due 2029 issued by Aspial Lifestyle, and a 394,000 Singapore dollars charge from the AF Global Group.

Certain dealings—comprising joint-venture loans, the corporate guarantee and a proportionate share subscription in Maxi Capital Wealth—are exempt from shareholder approval under Singapore Exchange Listing Manual Rules 916(2) and 916(3). After excluding these exempt items, the value of relevant transactions stands at about 8.1 million Singapore dollars, or 1.53 % of the group’s net tangible assets, below the 5 % threshold that would otherwise require shareholder approval.

Aspial’s Audit Committee stated that the terms of the loans, guarantees and investments are on normal commercial terms, proportionate to each partner’s equity stakes, and are not prejudicial to the interests of the company or its minority shareholders.
