HAOHAI BIOTEC Calls 29 May 2026 H-Shareholders’ Meeting to Secure 10% Buyback Mandate

Shanghai Haohai Biological Technology Co., Ltd. (HAOHAI BIOTEC) has scheduled its 2026 first H Shareholders’ Class Meeting for 29 May 2026 at 24/F, WenGuang Plaza, Shanghai. The session will commence immediately after the company’s 2025 AGM and the concurrent A-share class meeting.

The sole agenda item is a special resolution authorising the Board to repurchase up to 10% of the company’s issued H shares (excluding treasury shares and any already repurchased but uncancelled shares). The mandate would empower directors to:

• Set detailed buyback parameters—including price, volume and timetable—within applicable PRC laws and Hong Kong Stock Exchange regulations. • Handle creditor notifications, account openings, foreign-exchange registrations, regulatory filings and share-cancellation procedures. • Amend the Articles of Association to reflect any capital reduction arising from cancelled shares.

Validity of the mandate spans the “Relevant Period,” ending at the earlier of the 2026 AGM or any subsequent shareholder resolution revoking or amending the authority.

Key administrative dates:

• Register closure for H-share transfers: 26–29 May 2026 (both days inclusive). • Record date for meeting eligibility: 29 May 2026. • Proxy forms for H-shareholders must reach Computershare Hong Kong Investor Services by 2:00 p.m. on 28 May 2026. • Voting will be conducted by poll; shareholders may appoint one or more proxies, who need not be shareholders.

The meeting is expected to last no more than half a day, and attendees will bear their own travel and accommodation costs.
